Legal Affairs Advisor

PART A. General Description

The Legal Department is responsible for all the legal affairs of Avolta. The primary responsibilities include writing/editing rules and contracts, providing legal advice to company management, drafting legal letters, devising efficient defense strategies, researching and fixing potential weaknesses in Avolta’s operations, as well as expressing legal opinion on company conflicts and pleading all cases of Avolta.

PART B. Responsibilities

As a Legal Affairs Company Advisor:

  • Legal Compliance: Ensure the company’s activities comply with relevant laws, regulations, and industry standards, providing guidance and advice on legal matters to mitigate risk and maintain legal compliance.
  • Contract Review and Drafting: Review, draft, and negotiate contracts and agreements with clients, vendors, partners, and other third parties, ensuring legal clarity, accuracy, and protection of the company’s interests.
  • Intellectual Property Protection: Manage and protect the company’s intellectual property assets, including trademarks, copyrights, patents, and trade secrets, by conducting IP audits, filing applications, and enforcing IP rights as necessary.
  • Corporate Governance: Advise on corporate governance matters, including corporate structure, board governance, shareholder relations, and compliance with corporate governance principles and standards.
  • Risk Assessment and Mitigation: Identify and assess legal risks and liabilities associated with business operations, transactions, and strategic initiatives, developing risk mitigation strategies and solutions to protect the company’s interests.
  • Dispute Resolution: Represent the company in legal disputes, litigation, and alternative dispute resolution processes, including negotiation, mediation, arbitration, and litigation management, to achieve favorable outcomes and protect the company’s rights.
  • Regulatory Compliance: Monitor and interpret changes in laws, regulations, and industry standards relevant to the company’s business activities, providing proactive advice and guidance on compliance requirements and implications.
  • Employment Law Compliance: Ensure compliance with employment laws and regulations, including hiring practices, employment contracts, workplace policies, and employee relations, to minimize legal risks and promote a fair and inclusive work environment.
  • Data Privacy and Security: Advise on data privacy and security laws and regulations, including GDPR, CCPA, and other data protection laws, ensuring compliance with data privacy requirements and protection of customer and employee data.
  • Corporate Transactions: Provide legal support and advice on corporate transactions, such as mergers, acquisitions, divestitures, and joint ventures, including due diligence, negotiation, documentation, and closing activities.
  • Legal Documentation and Record-keeping: Draft and maintain legal documents, records, and corporate filings, ensuring accuracy, completeness, and compliance with legal requirements and standards.
  • Legal Research and Analysis: Conduct legal research and analysis on various legal issues, case law, statutes, and regulations, providing informed advice and recommendations to internal stakeholders on legal matters.
  • Ethics and Compliance Training: Develop and deliver training programs on legal and ethical standards, policies, and procedures for employees and management to promote a culture of compliance and ethical conduct within the organization.

The compensation for this role would be pro-bono (unpaid).
